McAfee IPO NASDAQ 12/2/1999

SANTA CLARA, Calif., Dec. 1 /PRNewswire/ — McAfee.com (Nasdaq: MCAF)
today announced the initial public offering of 6,250,000 shares of its Class A
common stock at $12 per share. All the shares in this offering are being sold
by McAfee.com and are expected to commence trading on December 2, 1999 on the
NASDAQ National Market. The $12 per share sales price reflects an increase
over the anticipated $6.00 to $8.00 initial public offering price range
previously disclosed in McAfee.com’s preliminary prospectus. After deducting
the underwriting discounts and commissions and estimated offering expenses,
net proceeds from this offering of 6,250,000 shares of Class A common stock
will be approximately $68.65 million as compared to the previously disclosed
$39.6 million (which used an assumed initial offering price of $7.00 per
share).
The underwriting of the offering was managed by Morgan Stanley Dean
Witter, Hambrecht & Quist and Robertson Stephens. McAfee.com has also granted
the underwriters an option to purchase up to 937,500 additional shares of the
common stock to cover over-allotments, if any.

Network Associates Provides the Coors Brewing Company with Total Virus Defense which includes protection on the Microsoft Exchange server

Through the implementation of an extensive Microsoft Exchange environment, the Coors Brewing Company significantly increased their effectiveness as a business by improving the quality of their electronic workplace. Groupware environments like Exchange make it easy to share information more rapidly than ever before. Unfortunately, they also provide an excellent medium for the spread of viruses. The most prolific type of virus threat in a groupware environment comes from macro-viruses, which exploit the macro language capabilities of modern applications such as Microsoft Office. Macro viruses are relatively simple to write and have spread like wildfire because they attach themselves to every document subsequently opened in an application, then infect every machine in an office as workers exchange and collaborate on documents either through groupware applications such as Microsoft Exchange or E-mail to other systems. The affect of malicious macros can be anything from hindering print jobs to destroying data.

“The data communications network obviously has a large impact on the way Coors conducts business” says Hager. “We have implemented an aggressive policy to eliminate viruses not only at the Exchange server but at all entry points into the network. Without this type of multi-tier virus security our IT staff and helpdesk resources would be running from machine to machine trying to figure out why somebody lost data, or can’t print, or who knows what. GroupShield really helps us keep our Exchange environment operating the way it should, by allowing users to share information and not be wary of viruses”. Coors Brewing is an international company with facilities in such places as Korea, and Europe. “We have been fortunate to forge ahead with extranets and E-commerce to streamline the way we conduct business, and have been confronted with the task of ensuring the environment is kept virus free”.

On the Internet gateway, Coors has implemented WebShield for Firewalls to scan inbound and outbound SMTP, FTP, and HTTP traffic because the Internet has become an entry point for viruses. NetShield protects the file servers where users keep their documents, templates, data, and in some instances their applications. “We run scheduled scans at night when our traffic is low” says Hager. “If viruses get into documents, they can be shared in public server directories, posted to the exchange environment, or backed up to corporate archives, and continue spreading the virus to desktops or worse yet, somebody might send the documents out to our customers, so we have eliminated that problem”. Coors has also deployed VirusScan on the desktops to have protection that scans memory, boot records, FAT tables, executables, and documents on the users machines directly. In addition, a resident portion is configured to scan every floppy that is inserted in the machine to ensure that diskettes shared by users, or travelling back and forth from home are not infected.

“Users are typically unaware that they are spreading viruses,” says Hager “they are simply trying to get their report out to a distribution list or onto an Exchange database for comment. With our multi-tier virus security architecture we stop the headaches of mass infection by scanning on the desktops, the servers, and the Internet gateway. Even if a user has for some reason disabled their desktop scanning, we catch the virus on the network before it is spread to other users, or out to customers and suppliers”. This has dramatically reduced the amount of calls to the Coors help desk with related questions and concerns that would otherwise diminish the productivity of their IT staff.

The International Computer Security Association (ICSA) has estimated the average cost of a single virus affecting at least 25 machines at more than $8,000; not counting lost user productivity. Hager has never stopped to measure how much money Coors Brewing saved by installing Network Associates’ anti-virus software when they did. He prefers to look at its value in human terms. “I remember one case where a secretary for one of our executives received a high level email from a supplier with an infected attachment. GroupShield for Exchange cleaned the virus, and she was able to open it without a problem. She couldn’t stop telling me how grateful she was that it was self corrected and she was able to get the necessary information to the executive immediately. How do you put a monetary value on that?”

Summary
Microsoft Exchange is an excellent solution to increase communications and the flow of information throughout your enterprise network. However, because documents are often distributed rapidly through an entire organization, it is critical to catch macro viruses at the server level before they become widespread virus disasters. Network Associates and Trend Micro Settle Antivirus Software Patent Dispute

Cupertino, CA, – June 1, 2000 – Trend Micro Inc. and Network Associates announced today that they have settled their patent disputes and cross-licensed their patent portfolios, ending all pending federal lawsuits. Both parties’ patent infringement lawsuits will be dismissed as a result of the settlement between the two leading anti-virus companies.

“We are very pleased by the outcome,” said Mike Conner, Trend Micro’s vice president for North American sales. “We felt at the outset we needed to protect our intellectual property and we’ve accomplished that goal.”

“Network Associates has demonstrated technology leadership in the industry with 23 issued patents, over 80 pending patents, and even more in the patent pipeline,” said Jeff Jones, Product Manager of McAfee, a Network Associates business. “We are very satisfied with the settlement and plan to continue the vigorous protection of our technology assets against patent infringement.”

The Trend Micro lawsuit focused on its patent issued in 1997 concerning scanning for viruses in electronic mail and Internet data transfers. The Network Associates lawsuit focused on its patent issued in 2000 concerning concentrated on embedding anti-virus technology into Internet and network applications. The settlement enables both parties to cross-license these and other patented technologies. Other terms and conditions of the settlement are confidential by agreement of the court.

McAfee Unveils Enterprise Systems Management Strategy Following Completion of Saber Software Acquisition
New Offerings to Create Scaleable Family of Integrated Enterprise-Enabled Systems Management Products for NetWare and NT Networks

SANTA CLARA, CALIF. (September 11, 1995) — Following the completion of its Saber Software acquisition, McAfee (NASDAQ:MCAF) today unveiled its enterprise systems management strategy for the combined product lines of McAfee and Saber. The ambitious product roadmap, which calls for a dozen major new product introductions over the next three quarters, will culminate in a tightly integrated family of enterprise-enabled systems management tools for PC LANs. According to IDC, McAfee currently holds a 41% market share for Integrated PC Network Management suites.

“We’ve committed to our customers to be a market leader in client/server network management software,” said Bill Larson, president, CEO, and chairman of McAfee. “Our acquisition of Saber is consistent with that ongoing strategy. The combination of our companies and product lines will create a best-of-breed family of highly integrated point products and suites, all backed by the industry’s most responsive team of technical support professionals.”
McAfee to Deliver Tight Cross-Product Integration

At the core of McAfee’s product strategy is a broad collection of best-of-breed management utilities for PC LANs that combine to create tightly integrated suites and mini-suites. To facilitate integration among the McAfee and Saber solutions, all products will share common data formats, alerting, NLMs, reporting and scripting. The entire product family will be united under a common Windows 95 OLE management console and share a common SQL database repository.

A common scripting language combined with full OLE support will provide a level of integration not offered by any other network management suite vendor. This integration will allow individual point products to launch each other. SiteInventory, for example, could automatically discover the installation of a new PC on the network and trigger SiteExpress to automatically install the PC’s applications. To further facilitate integration, McAfee will provide migration utilities designed to merge the management information databases of McAfee and Saber products.
Complete Enterprise Support Across Products

McAfee’s entire product family will become enterprise enabled, allowing the products to scale from the departmental LAN to the enterprise WAN. Each product will provide SNMP MIB alerting, protocol support for TCP/IP, and support for Windows NT (server and client) and Windows 95. The products will support NOS-specific services such as user and group management under NetWare 4.1’s NDS and complete Policy management under Windows NT Server.
Family Composed of Modular, Interoperable Building Blocks

McAfee’s product family is architected around standalone point products and integrated suites, each capable of scaling to the enterprise either individually or as components of higher-level integrated suites. Each point product and suite serves as a modular interoperable building block for McAfee’s total enterprise systems management strategy.

The point products feed into two primary mini-suites. The BrightWorks asset management mini-suite will combine SiteMeter (metering), SiteExpress (software distribution), SiteInventory (inventory management), and Site Support Center (help desk). McAfee’s NetTools and NetRemote will join Saber’s SaberMenus to create McAfee’s new SaberTools desktop configuration management mini-suite.

BrightWorks and SaberTools will combine with a new network storage management module to create the Saber LAN Workstation (SLW) LAN systems management suite. Above SLW will sit McAfee’s enterprise systems management suite, code-named MSM, which will also include server management and anti-virus capabilities.
Modular Systems Management Products Provide Flexible Upgrade Path

Under McAfee’s modular product strategy, customers have the option to purchase suites or point products. Unlike other vendors who only sell suites, McAfee provides customers the flexibility to deploy the individual systems management tools they need today. Customers can begin with one or two point products and later grow to suites as their requirements evolve. At each stage of the upgrade path, McAfee provides generous credit toward the purchase of higher level integrated suites.

McAfee’s best-of-breed suites are further differentiated by their breadth of components. McAfee’s BrightWorks, for example, is the only asset management suite to integrate a help desk. The Company’s Saber LAN Workstation is the only LAN Systems Management suite to provide remote control and backup. McAfee’s MSM is the only enterprise systems management suite to integrate anti-virus and server monitoring capabilities.
Saber LAN Workstation to Ship in October

The first deliverable in this strategy will be Saber LAN Workstation 5.5, which will ship in October.
